Boston Properties, a real estate investment
trust, is one of the largest owners, managers, and developers
of first-class office properties in the United States, with a
significant presence in four major cities: Boston, Washington,
D.C., Midtown Manhattan and San Francisco.
The Company acquires, develops, and manages
its properties through full-service regional offices in Boston,
New York City, Washington, D.C., San Francisco, and Princeton,
NJ. Its property portfolio is comprised primarily of first-class
office space and also includes three hotels and one industrial
building.
As of December 31, 2005, the Company's
portfolio consisted of 121 properties comprising approximately
42.0 million square feet, including three properties under construction
and one expansion project totaling 1.1 million square feet. The
overall percentage of leased space for the 116 properties in
service as of December 31, 2005 was 93.8%.
In 2005, Boston Properties had total revenue
of $1.43 billion and net income of $438.2 million.
The Company was founded in 1970 by Mortimer
Zuckerman and Edward Linde in Boston, where it maintains its
headquarters. Boston Properties became a public company in June
1997.

Salary Continuation
In the event you are unable to
work for an extended period due to illness or injury, you will
be eligible to receive salary continuation equal to 100% of your
base salary for up to 4 weeks, and an additional 8 weeks at 65%
of your base salary.

Long Term Disability
Provides disability payments should you become disabled for
a period of more than 3 months. You will be eligible to receive
long term disability benefits equal to 60% of your base salary,
up to a maximum benefit of $10,000 per month.

Basic Life Insurance
You automatically receive Basic Life Insurance coverage equal
to 1.5 times your base annual salary (rounded to the next $1,000),
up to $200,000.
Boston Properties pays the full cost of this coverage.
Supplemental Life Insurance
You may elect Supplemental Life Insurance coverage in $10,000
increments, up to $500.000.
You pay the full cost of this coverage.
Business Travel Accident Insurance
You automatically receive business travel accident insurance
coverage equal to 5 times your base annual salary, up to a maximum
benefit of $3,000,000.
Boston Properties pays the full cost of this coverage.
Retirement Savings Plan
You may contribute 1% to 25% of
eligible earnings on a pre-tax basis to the 401k Retirement Savings
Plan. The Company makes matching contributions equal to 200%
of the first 3% of eligible earnings you contribute to the Plan.
The Company contributions are fully vested at time of contribution.
Employee Stock Purchase Plan
You may elect to buy Company stock at a 15% discount.

You may pay for your monthly public transportation and parking
